Seller Agreement

1. Introduction

Welcome to FrenzyGo.com ("Platform"), operated by Frenzy Brands Inc. ("Company", "we", "us", or "our"). This Seller Agreement ("Agreement") outlines the terms and conditions under which you ("Seller", "you", or "your") may sell products on our Platform. By registering as a seller and using our Platform, you agree to comply with and be bound by these terms.

2. Eligibility and Account Registration

a. Eligibility:
To become a seller on FrenzyGo, you must be at least 18 years old and have the legal capacity to enter into binding contracts. Additionally, you must possess all necessary licenses and permits required by federal, provincial, and municipal laws to sell your products.

b. Account Creation:
You must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted under your account.

c. Account Termination:
We reserve the right to suspend or terminate your account if you violate these terms or engage in fraudulent activities.

3. Product Listings

You agree to provide truthful and accurate descriptions of your products, including but not limited to:

4. Payment Processing and Fees

a. Payment Collection

All payments for products sold on the Platform are processed through Stripe, a third-party payment processor. We collect payments from buyers on your behalf and disburse the net amount to you after deducting applicable fees.

b. Fees and Commissions

The following fees apply to each transaction:

All fees are deducted automatically before the net proceeds are transferred to your account.

c. Tax Handling

Tax Collection: Depending on your registration and the nature of your products, we may collect Goods and Services Tax (GST) or Harmonized Sales Tax (HST) on your behalf.

Tax Remittance: If you have provided us with your tax information, we will remit the collected taxes directly to the Government of Canada. If not, you are responsible for reporting and remitting applicable taxes to the appropriate authorities.

Tax Documentation: Sellers must provide accurate tax information during account registration. Failure to do so may result in withholding of funds until proper tax details are provided.

5. Payment Disbursement

a. Payment Schedule

Net proceeds from sales are disbursed to sellers on a [weekly/bi-weekly/monthly] basis. Disbursements occur [e.g., every Monday], covering transactions completed in the previous [week/bi-weekly period/month].

b. Payment Method

Payments are transferred to your designated bank account via Stripe. Ensure that your bank details are accurate to avoid delays or issues with disbursement.

Frenzy Brands Inc. acts solely as a platform facilitating transactions between buyers and sellers. We are not responsible for any injuries, damages, or losses resulting from the use or inability to use products purchased through FrenzyGo. All such responsibilities lie solely between the buyer and the seller.

To the fullest extent permitted by law, Frenzy Brands Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.

Maximum Liability: Our total liability shall not exceed the amount paid by you to Frenzy Brands Inc. in the preceding twelve months.

8. Indemnification

You agree to indemnify and hold harmless Frenzy Brands Inc., its affiliates, and its officers from any claims, damages, liabilities, and expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another.

9. Intellectual Property

a. Ownership

All content on the Platform, including logos, graphics, text, and software, is owned by Frenzy Brands Inc. or its licensors.

b. Usage Rights

You may not reproduce, distribute, or create derivative works from our content without explicit permission.

10. Dispute Resolution

a. Mediation

If a dispute arises between you and another user, both parties agree to attempt to resolve the issue through mediation facilitated by FrenzyGo support.

b. Arbitration

If mediation does not resolve the dispute, the matter may be submitted to binding arbitration in accordance with the rules of the Canadian Arbitration Association.

c. Timeframes

Disputes must be initiated within 30 days of the transaction date.

d. Documentation

Both parties must provide relevant documentation, including order details, communication records, and evidence of the issue.

e. Finality

The decision reached through arbitration is final and binding on both parties.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, without notice, for any reason, including but not limited to violations of this Agreement or our Terms of Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved exclusively in the courts of Toronto, Ontario.

13. Changes to Agreement

We may update this Agreement from time to time. We will notify you of any changes by updating the "Effective Date" at the top of this Agreement. Your continued use of the Platform after any changes constitutes your acceptance of the new Agreement.
